ColorGATE Conditions of Use and Licensing Agreement

The terms of this Agreement governing the use of the software product "Profiler dll" (hereinafter referred to 'Software') by you, the end user, also referred to hereinafter as "Licensee". The Licensee acquires first without right of use from ColorGATE Digital Output Solutions GmbH, Große Düwelstrasse 1, 30171 Hannover (hereinafter referred to as "Licensor"). By using the Software, Licensee is confirming the acceptance of this agreement and Licensee is agreeing to become bound by the terms of this agreement.

1. Object of agreement

1.1 The Licensor grants, the Licensee the simple, non-exclusive, non-transferable, per-petual right to use the Software in machine-readable form (object code) and accompa-nying materials. Documentation of the Software is not contracted.

1.2 The granting of this right of use does not involve an acquisition of rights to the Software, beyond this. The Licensor reserves all rights to distribution, exhibition, presentation, demonstration and publication of the Software. The same shall apply for the rights for processing and duplication, insofar as nothing else is expressly agreed be-low.

1.3 According to the respective agreement between the Licensor and the Licensee, the rights to use the Software is granted for an unlimited period of time (hereinafter re-ferred to as "Software Purchase").

1.4 Not included are additional services such as installation, integration, parameteriza-tion and adaptation of the Software to the requirements of the Licensee.

2. Scope of Use, Licensing Procedure

2.1 The granting of the license entitles the Licensee to install and operate the Software at a screen workplace (single place application) at one location. The Software may not be used per remote communication.

2.2 The rights granted to the Licensee by this Agreement is limited to the object code of the Software. The Licensor is not obliged to make the source code available to the Licensee. The Licensee is not permitted to reverse engineer, reassemble or in any way edit or modify the object code of the Software, or attempt to unlock or circumvent any initialization systems, encryption methods or copy protection devices that Licensor in-corporates into the Licensed Products.

3. Obligations of the Licensee

3.1 The Licensee is not permitted to lease the Software and accompanying material for the purpose of acquisition.

3.2 Incidentally, the Licensee is only entitled to pass on the Software and the accompa-nying material, insofar as he

  1. has deleted the installed Software and any possible data stocks stored on the hard disk or backup copies,
  2. the recipient has declared in writing, that he agrees with the contents and the validi-ty of these changes to the licensing agreement,
  3. this written declaration of agreement is sent to the Licensor and
  4. the Licensee has handed over the Software and the accompanying material to the recipient without retaining any copies.

3.3 The Licensee shall take appropriate measures to protect the Software from access by unauthorized third parties, in particular to keep all copies of the Software and all iden-tification and authentication measures, in a protected location and not to disclose them to unauthorized third parties.

3.4 The Licensee shall refrain from misusing the Software or allowing it to be misused, in particular for such files which have illegal or immoral content, or which serve to in-cite the people, which lead to criminal acts or glorify or trivialize violence, which are likely to seriously endanger children or young people morally or impair their well-being or which may damage the reputation of the Licensor.

3.5 The Licensee shall indemnify the Licensor against all claims of third parties based on an unlawful use of the Software by the Licensee. The Licensee is obliged to bear all costs of a legal defence of the Licensor required by this and to compensate the Licensor for any further damage resulting from the claim by third parties.

4. Term of Contract

4.1 In case of software purchase, this agreement is concluded for an indefinite period.

4.2 The Licensee's right to use the Software and the accompanying material shall expire if the Licensee violates the terms of use set forth in this Agreement. A violation in this sense shall be deemed to have occurred in particular in the event of a breach of the rights of use granted to the Licensee under Number 2 as well as in the event of a breach of the provisions of Section 3.

4.3 The proper use of the Software and the accompanying material is a condition for the rights of use granted according to this licensing agreement. In the event that the Licen-see violates these rights, his rights of beneficial use shall end without the necessity for the contract to be terminated.

5. Patent rights of third parties

5.1 At the time of the conclusion of the contract, the Licensor has checked that the li-cense product is free from rights of third parties, which limit or exclude a use corre-sponding with the scope as laid down in the contract.

5.2 The Licensee shall not remove existing markings, citations of patent rights or refer-ences to ownership of the Licensor in the Software.

5.3 The Licensor shall release the Licensee from all claims of third parties against the Licensee, ensuing from the violation of the patent rights of software developed and handed over by the Licensor. The existence of this liability is conditional on the fact that the Licensee makes neither a written nor an oral declaration towards the third par-ty on the violation of patent rights in particular recognizes no rights or facts and as-sumes no liability. In addition to this, the Licensee must not have connected the Soft-ware with software from third parties without the prior written consent of the Licensor, and in no way have used the Software contrary to the provisions.

5.4 The Licensor is entitled, at his own costs to carry out necessary changes at the Li-censee to the software due to the claims for patent rights of third parties, should a third party assert any industrial property rights thereto. The Licensee cannot derive any con-tractual rights from this. The Licensee shall inform the Licensor immediately, and in writing, in case he is informed of the violation of commercial patent and copyrights through a product delivered by the Licensor.

5.5 The Licensee may only use the software for his own purposes, if nothing else has been expressly agreed. The use at the same time of a program on several computers requires a special contractual agreement.

5.6 The Licensee may only create copies of the program handed over to him or of parts of this program for the purposes of backup. Licensee shall visibly affix the words "Backup Copy" and a copyright notice of Licensor to the backup copy made. Copying of docu-ments which have been handed over such as documentation, operating instructions, etc. is only permitted with the prior written consent of the Licensor.

5.7 The Licensee is only liable to the Licensor for all damages, which ensue from the violation of the above-mentioned obligations of the Licensee.

6. Liability

6.1 Claims for damages and expenses of the Licensee (hereinafter referred to as claims for damages), no matter for what legal reason, in particular due to a violation of obli-gations from the contractual obligations and due to indirect damages and non-permitted act are excluded.

6.2 This shall not apply insofar as there is an obligation for liability, e.g. according to the product liability act, in cases of wilful intent, gross negligence, due to injury to life, body or damage to health, due to the violation of essential contractual obligations. The claim for damages for the violation of essential contractual obligations is, however, lim-ited in maximum to the license fee to the contractual-typical, foreseeable damage, in-sofar as there is no intention or gross negligence exists or no liability due to injury to life, body or damage to health. A change to the burden of proof to the disadvantage of the Licensee is not connected with the existing regulations.

6.3 Insofar as the Licensee is entitled to claim for damages in accordance with this number 5, these shall become statute-barred with expiry of the statutory period of limi-tation valid for claims from defect of quality.

7. Assignment of rights

7.1 The Licensee may only assign rights from the contract to third parties with the prior consent of the Licensor.

7.2 The Licensor is entitled to assign all obligations for which he is responsible and all rights to which he is entitled from the contracts to third parties. He shall ensure that there are no disadvantages ensuing from this for the Licensee.

7.3 The Licensor shall further be entitled to engage third parties for the performance of all obligations under this Agreement. In this case, the Licensor will continue to guaran-tee as a contractual partner the proper fulfilment of his contractual obligation towards the Licensee, and the Licensee shall accept the service rendered as a service of the Li-censor.

7.4 A change in the contractual partner on the part of the Licensor is permitted. For the case of the assumption of all obligations by a third party the Licensee has an extraordi-nary right to termination. The right to termination must be exercised within four weeks after the transfer of the contractual partner has been announced. After this the contrac-tual relationship shall be continued with the third party.

8. Confidentiality, duty to exercise care, duty to provide information

8.1 Both contracting parties mutually undertake to keep confidential information, which they learn about each other during the performance of this contract and all confidential information, which is not generally known secret from third parties and to oblige their employees accordingly. Confidential information in this sense shall be all information and documents of the respective other contractual partner, which are marked as confi-dential or are to be regarded as confidential from the circumstances, which are the sub-ject of appropriate secrecy measures by their owner, where there is a justified interest in secrecy and which are of economic value, in particular information on operational processes, business relationships and know-how.

8.2 The Licensee shall store the delivered original data medium in a place secure from unauthorized access by third parties and expressly inform his employees concerning the observation of existing contractual provisions as well as the provisions of the copyright.

8.3 The Licensee undertakes to inform the Licensor in writing of the removal of a copy protection or a similar protection routine from the program code. The Licensee has to give an exact as possible account of the disturbance in the use of the program required for such a only according to the legal regulations permissible change in program. The obligation to describe covers a detailed presentation of the symptoms of the disturb-ance, which have occurred, of the presumed cause of the disturbance, as well as in par-ticular a detailed description of the change in program which was carried out.

9. Place of performance, venue

9.1 Place of performance for all contractual services is the registered seat in Hanover.

9.2 The venue of Hanover shall be deemed agreed towards commercial Licensees (ac-cording to the HGB (German Commercial Code).

10. Export and Applicable law

10.1 The export of Software of the Licensor in non-EU-countries requires the written consent of the Licensor.

10.2 German material law shall apply for the legal relationships in connection with this contract under exclusion of the agreement of the United Nations on contracts relating to the international sale of goods (CISG).

11. General contractual provisions

11.1 Oral collateral agreements have not been reached by the contractual parties. Sub-sequent supplements or changes to the closed agreements must be made in writing. An oral renunciation to the written form is excluded.

11.2 The remaining provisions of the contract shall also remain binding in the case of individual provisions being legally invalid. This shall not apply in the case that still ob-serving the contract would mean an unreasonable hardship for one party.

1. Definitions.

1.1. Contributor means each individual or entity that creates or contributes to the creation of Modifications.

  4. Each Contributor represents that to its knowledge it has sufficient copyright rights in its Contribution, if any, to grant the copyright license set forth in this Agreement.

3. REQUIREMENTS

A Contributor may choose to distribute the Program in object code form under its own license agreement, provided that:

  1. it complies with the terms and conditions of this Agreement; and
  2. its license agreement:
    1. effectively disclaims on behalf of all Contributors all warranties and conditions, express and implied, including warranties or conditions of title and non-infringement, and implied warranties or conditions of merchantability and fitness for a particular purpose;
    2. effectively excludes on behalf of all Contributors all liability for damages, including direct, indirect, special, incidental and consequential damages, such as lost profits;
    3. states that any provisions which differ from this Agreement are offered by that Contributor alone and not by any other party; and
    4. states that source code for the Program is available from such Contributor, and informs licensees how to obtain it in a reasonable manner on or through a medium customarily used for software exchange.

When the Program is made available in source code form:

  1. it must be made available under this Agreement; and
  2. a copy of this Agreement must be included with each copy of the Program.

Contributors may not remove or alter any copyright notices contained within the Program.

Each Contributor must identify itself as the originator of its Contribution, if any, in a manner that reasonably allows subsequent Recipients to identify the originator of the Contribution.

4. COMMERCIAL DISTRIBUTION

Commercial distributors of software may accept certain responsibilities with respect to end users, business partners and the like. While this license is intended to facilitate the commercial use of the Program, the Contributor who includes the Program in a commercial product offering should do so in a manner which does not create potential liability for other Contributors. Therefore, if a Contributor includes the Program in a commercial product offering, such Contributor ("Commercial Contributor") hereby agrees to defend and indemnify every other Contributor ("Indemnified Contributor") against any losses, damages and costs (collectively "Losses") arising from claims, lawsuits and other legal actions brought by a third party against the Indemnified Contributor to the extent caused by the acts or omissions of such Commercial Contributor in connection with its distribution of the Program in a commercial product offering. The obligations in this section do not apply to any claims or Losses relating to any actual or alleged intellectual property infringement. In order to qualify, an Indemnified Contributor must: a) promptly notify the Commercial Contributor in writing of such claim, and b) allow the Commercial Contributor to control, and cooperate with the Commercial Contributor in, the defense and any related settlement negotiations. The Indemnified Contributor may participate in any such claim at its own expense.

For example, a Contributor might include the Program in a commercial product offering, Product X. That Contributor is then a Commercial Contributor. If that Commercial Contributor then makes performance claims, or offers warranties related to Product X, those performance claims and warranties are such Commercial Contributor's responsibility alone. Under this section, the Commercial Contributor would have to defend claims against the other Contributors related to those performance claims and warranties, and if a court requires any other Contributor to pay any damages as a result, the Commercial Contributor must pay those damages.

5. NO WARRANTY

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely responsible for determining the appropriateness of using and distributing the Program and assumes all risks associated with its exercise of rights under this Agreement , including but not limited to the risks and costs of program errors, compliance with applicable laws, damage to or loss of data, programs or equipment, and unavailability or interruption of operations.

6. DISCLAIMER OF LIABILITY

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. GENERAL

If any provision of this Agreement is invalid or unenforceable under applicable law, it shall not affect the validity or enforceability of the remainder of the terms of this Agreement, and without further action by the parties hereto, such provision shall be reformed to the minimum extent necessary to make such provision valid and enforceable.

If Recipient institutes patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that the Program itself (excluding combinations of the Program with other software or hardware) infringes such Recipient's patent(s), then such Recipient's rights granted under Section 2(b) shall terminate as of the date such litigation is filed.

All Recipient's rights under this Agreement shall terminate if it fails to comply with any of the material terms or conditions of this Agreement and does not cure such failure in a reasonable period of time after becoming aware of such noncompliance. If all Recipient's rights under this Agreement terminate, Recipient agrees to cease use and distribution of the Program as soon as reasonably practicable. However, Recipient's obligations under this Agreement and any licenses granted by Recipient relating to the Program shall continue and survive.

Everyone is permitted to copy and distribute copies of this Agreement, but in order to avoid inconsistency the Agreement is copyrighted and may only be modified in the following manner. The Agreement Steward reserves the right to publish new versions (including revisions) of this Agreement from time to time. No one other than the Agreement Steward has the right to modify this Agreement. The Eclipse Foundation is the initial Agreement Steward. The Eclipse Foundation may assign the responsibility to serve as the Agreement Steward to a suitable separate entity. Each new version of the Agreement will be given a distinguishing version number. The Program (including Contributions) may always be distributed subject to the version of the Agreement under which it was received. In addition, after a new version of the Agreement is published, Contributor may elect to distribute the Program (including its Contributions) under the new version. Except as expressly stated in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to the intellectual property of any Contributor under this Agreement, whether expressly, by implication, estoppel or otherwise. All rights in the Program not expressly granted under this Agreement are reserved.

This Agreement is governed by the laws of the State of New York and the intellectual property laws of the United States of America. No party to this Agreement will bring a legal action under this Agreement more than one year after the cause of action arose. Each party waives its rights to a jury trial in any resulting litigation.

THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF THIS ECLIPSE PUBLIC LICENSE ("AGREEMENT"). ANY USE, REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE OF THIS AGREEMENT.

"Recipient" means anyone who receives the Program under this Agreement or any Secondary License (as applicable), including Contributors.

"Derivative Works" shall mean any work, whether in Source Code or other form, that is based on (or derived from) the Program and for which the editorial revisions, annotations, elaborations, or other modifications represent, as a whole, an original work of authorship.

"Modified Works" shall mean any work in Source Code or other form that results from an addition to, deletion from, or modification of the contents of the Program, including, for purposes of clarity any new file in Source Code form that contains any contents of the Program. Modified Works shall not include works that contain only declarations, interfaces, types, classes, structures, or files of the Program solely in each case in order to link to, bind by name, or subclass the Program or Modified Works thereof.

"Distribute" means the acts of a) distributing or b) making available in any manner that enables the transfer of a copy.

"Source Code" means the form of a Program preferred for making modifications, including but not limited to software source code, documentation source, and configuration files.

"Secondary License" means either the GNU General Public License, Version 2.0, or any later versions of that license, including any exceptions or additional permissions as identified by the initial Contributor.

2. GRANT OF RIGHTS

  1. Subject to the terms of this Agreement, each Contributor hereby grants Recipient a non-exclusive, worldwide, royalty-free copyright license to reproduce, prepare Derivative Works of, publicly display, publicly perform, Distribute and sublicense the Contribution of such Contributor, if any, and such Derivative Works.
  2. Subject to the terms of this Agreement, each Contributor hereby grants Recipient a non-exclusive, worldwide, royalty-free patent license under Licensed Patents to make, use, sell, offer to sell, import and otherwise transfer the Contribution of such Contributor, if any, in Source Code or other form. This patent license shall apply to the combination of the Contribution and the Program if, at the time the Contribution is added by the Contributor, such addition of the Contribution causes such combination to be covered by the Licensed Patents. The patent license shall not apply to any other combinations which include the Contribution. No hardware per se is licensed hereunder.
  3. Recipient understands that although each Contributor grants the licenses to its Contributions set forth herein, no assurances are provided by any Contributor that the Program does not infringe the patent or other intellectual property rights of any other entity. Each Contributor disclaims any liability to Recipient for claims brought by any other entity based on infringement of intellectual property rights or otherwise. As a condition to exercising the rights and licenses granted hereunder, each Recipient hereby assumes sole responsibility to secure any other intellectual property rights needed, if any. For example, if a third party patent license is required to allow Recipient to Distribute the Program, it is Recipient's responsibility to acquire that license before distributing the Program.
  4. Each Contributor represents that to its knowledge it has sufficient copyright rights in its Contribution, if any, to grant the copyright license set forth in this Agreement.
  5. Notwithstanding the terms of any Secondary License, no Contributor makes additional grants to any Recipient (other than those set forth in this Agreement) as a result of such Recipient's receipt of the Program under the terms of a Secondary License (if permitted under the terms of Section 3).

3. REQUIREMENTS

3.1 If a Contributor Distributes the Program in any form, then:

  1. the Program must also be made available as Source Code, in accordance with section 3.2, and the Contributor must accompany the Program with a statement that the Source Code for the Program is available under this Agreement, and informs Recipients how to obtain it in a reasonable manner on or through a medium customarily used for software exchange; and
  2. the Contributor may Distribute the Program under a license different than this Agreement, provided that such license:
    1. effectively disclaims on behalf of all other Contributors all warranties and conditions, express and implied, including warranties or conditions of title and non-infringement, and implied warranties or conditions of merchantability and fitness for a particular purpose;
    2. effectively excludes on behalf of all other Contributors all liability for damages, including direct, indirect, special, incidental and consequential damages, such as lost profits;
    3. does not attempt to limit or alter the recipients' rights in the Source Code under section 3.2; and

3.2 When the Program is Distributed as Source Code:

  1. it must be made available under this Agreement, or if the Program (i) is combined with other material in a separate file or files made available under a Secondary License, and (ii) the initial Contributor attached to the Source Code the notice described in Exhibit A of this Agreement, then the Program may be made available under the terms of such Secondary Licenses, and

1.1 General License Grant. Microsoft grants to you as an individual, a personal, nonexclusive license to use the Software, and to make and use copies of the Software for the purposes of designing, developing, testing, and demonstrating your software product(s), provided that you are the only individual using the Software.
If you are an entity, Microsoft grants to you a personal, nonexclusive license to use the Software, and to make and use copies of the Software, provided that for each individual using the Software within your organization, you have acquired a separate and valid license for each such individual.

Your license rights to the Redistributables are conditioned upon your not (i) creating derivative works of the Redistributables in any manner that would cause the Redistributables in whole or in part to become subject to any of the terms of an Excluded License; or (ii) distributing the Redistributables (or derivative works thereof) in any manner that would cause the Redistributables to become subject to any of the terms of an Excluded License. An "Excluded License" is any license that requires as a condition of use, modification and/or distribution of software subject to the Excluded License, that such software or other software combined and/or distributed with such software be (x) disclosed or distributed in source code form; (y) licensed for the purpose of making derivative works; or (z) redistributable at no charge.

3.2 Additional Distribution Requirements for Certain Redistributable Code. If you choose to redistribute the files discussed in this Section, then in addition to the terms of Section 3.1, you must ALSO comply with the following.

  1. Microsoft SQL Server Desktop Engine ("MSDE"). If you redistribute MSDE you agree to comply with the following additional requirements: (a) Licensee Software shall not substantially duplicate the capabilities of Microsoft Access or, in the reasonable opinion of Microsoft, compete with same; and (b) unless Licensee Software requires your customers to license Microsoft Access in order to operate, you shall not reproduce or use MSDE for commercial distribution in conjunction with a general purpose word processing, spreadsheet or database management software product, or an integrated work or product suite whose components include a general purpose word processing, spreadsheet, or database management software product except for the exclusive use of importing data to the various formats supported by Microsoft Access. A product that includes limited word processing, spreadsheet or database components along with other components which provide significant and primary value, such as an accounting product with limited spreadsheet capability, is not considered to be a "general purpose" product.
  2. Microsoft Data Access Components. If you redistribute the Microsoft Data Access Component file identified as MDAC_TYP.EXE, you also agree to redistribute such file in object code only in conjunction with and as a part of a Licensee Software developed by you with a Microsoft development tool product that adds significant and primary functionality to MDAC_TYP.EXE.

3.3 Separation of Components. The Software is licensed as a single product. Its component parts may not be separated for use by more than one user.

3.4 Benchmark Testing. The Software may contain the Microsoft .NET Framework. You may not disclose the results of any benchmark test of the .NET Framework component of the Software to any third party without Microsoft's prior written approval.

4. PRERELEASE CODE.

Portions of the Software may be identified as prerelease code ("Prerelease Code"). Such Prerelease Code is not at the level of performance and compatibility of the final, generally available product offering. The Prerelease Code may not operate correctly and may be substantially modified prior to first commercial shipment. Microsoft is not obligated to make this or any later version of the Prerelease Code commercially available. The grant of license to use Prerelease Code expires upon availability of a commercial release of the Prerelease Code from Microsoft. NOTE: In the event that Prerelease Code contains a separate end-user license agreement, the terms and conditions of such end-user license agreement shall govern your use of the corresponding Prerelease Code.

5. RESERVATION OF RIGHTS AND OWNERSHIP.

Microsoft reserves all rights not expressly granted to you in this EULA. The Software is protected by copyright and other intellectual property laws and treaties. Microsoft or its suppliers own the title, copyright, and other intellectual property rights in the Software. The Software is licensed, not sold.

6. LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY.

You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

7. NO RENTAL/COMMERCIAL HOSTING.

You may not rent, lease, lend or provide commercial hosting services with the Software.

8. CONSENT TO USE OF DATA.

You agree that Microsoft and its affiliates may collect and use technical information gathered as part of the product support services provided to you, if any, related to the Software. Microsoft may use this information solely to improve our products or to provide customized services or technologies to you and will not disclose this information in a form that personally identifies you.

9. LINKS TO THIRD PARTY SITES.

You may link to third party sites through the use of the Software. The third party sites are not under the control of Microsoft, and Microsoft is not responsible for the contents of any third party sites, any links contained in third party sites, or any changes or updates to third party sites. Microsoft is not responsible for webcasting or any other form of transmission received from any third party sites. Microsoft is providing these links to third party sites to you only as a convenience, and the inclusion of any link does not imply an endorsement by Microsoft of the third party site.

10. ADDITIONAL SOFTWARE/SERVICES.

This EULA applies to updates, supplements, add-on components, or Internet-based services components, of the Software that Microsoft may provide to you or make available to you after the date you obtain your initial copy of the Software, unless we provide other terms along with the update, supplement, add-on component, or Internet-based services component. Microsoft reserves the right to discontinue any Internet-based services provided to you or made available to you through the use of the Software.

11. UPGRADES/DOWNGRADES

11.1 Upgrades. To use a version of the Software identified as an upgrade, you must first be licensed for the software identified by Microsoft as eligible for the upgrade. After upgrading, you may no longer use the software that formed the basis for your upgrade eligibility.

11.2 Downgrades. Instead of installing and using the Software, you may install and use copies of an earlier version of the Software, provided that you completely remove such earlier version and install the current version of the Software within a reasonable time. Your use of such earlier version shall be governed by this EULA, and your rights to use such earlier version shall terminate when you install the Software.

11.3 Special Terms for Version 2003 Upgrade Editions of the Software. If the Software accompanying this EULA is the version 2003 edition of the Software and you have acquired it as an upgrade from the corresponding "2002" edition of the Microsoft software product with the same product name as the Software (the "Qualifying Software"), then Section 11.1 does not apply to you. Instead, you may continue to use the Qualifying Software AND the version 2003 upgrade for so long as you continue to comply with the terms of this EULA and the EULA governing your use of the Qualifying Software. Qualifying Software does not include non-Microsoft software products.

12. NOT FOR RESALE SOFTWARE.

Software identified as "Not For Resale" or "NFR," may not be sold or otherwise transfered for value, or used for any purpose other than demonstration, test or evaluation.

13. ACADEMIC EDITION SOFTWARE.

14. EXPORT RESTRICTIONS.

You acknowledge that the Software is subject to U.S. export jurisdiction. You agree to comply with all applicable international and national laws that apply to the Software, including the U.S. Export Administration Regulations, as well as end-user, enduse, and destination restrictions issued by U.S. and other governments. 15. SOFTWARE TRANSFER.

The initial user of the Software may make a one-time permanent transfer of this EULA and Software to another end user, provided the initial user retains no copies of the Software. This transfer must include all of the Software (including all component parts, the media and printed materials, any upgrades (including any Qualifying Software as defined in Section 11.3), this EULA, and, if applicable, the Certificate of Authenticity). The transfer may not be an indirect transfer, such as a consignment. Prior to the transfer, the end user receiving the Software must agree to all the EULA terms.

16. TERMINATION.

Without prejudice to any other rights, Microsoft may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software and all of its component parts.

17. LIMITED WARRANTY FOR SOFTWARE ACQUIRED IN THE US AND CANADA.

Except for the "Redistributables," which are provided AS IS without warranty of any kind, Microsoft warrants that the Software will perform substantially in accordance with the accompanying materials for a period of ninety (90) days from the date of receipt.

If an implied warranty or condition is created by your state/jurisdiction and federal or state/provincial law prohibits disclaimer of it, you also have an implied warranty or condition, BUT ONLY AS TO DEFECTS DISCOVERED DURING THE PERIOD OF THIS LIMITED WARRANTY (NINETY DAYS). AS TO ANY DEFECTS DISCOVERED AFTER THE NINETY-DAY PERIOD, THERE IS NO WARRANTY OR CONDITION OF ANY KIND. Some states/jurisdictions do not allow limitations on how long an implied warranty or condition lasts, so the above limitation may not apply to you.

Any supplements or updates to the Software, including without limitation, any (if any) service packs or hot fixes provided to you after the expiration of the ninety day Limited Warranty period are not covered by any warranty or condition, express, implied or statutory.

LIMITATION ON REMEDIES; NO CONSEQUENTIAL OR OTHER DAMAGES. Your exclusive remedy for any breach of this Limited Warranty is as set forth below. Except for any refund elected by Microsoft, YOU ARE NOT ENTITLED TO ANY DAMAGES, INCLUDING BUT NOT LIMITED TO CONSEQUENTIAL DAMAGES, if the Software does not meet Microsoft's Limited Warranty, and, to the maximum extent allowed by applicable law, even if any remedy fails of its essential purpose. The terms of Section 19 ("Exclusion of Incidental, Consequential and Certain Other Damages") are also incorporated into this Limited Warranty. You will receive the remedy elected by Microsoft without charge, except that you are responsible for any expenses you may incur (e.g. cost of shipping the Software to Microsoft). This Limited Warranty is void if failure of the Software has resulted from accident, abuse, misapplication, abnormal use or a virus. Any replacement Software will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer, and Microsoft will use commercially reasonable efforts to provide your remedy within a commercially reasonable time of your compliance with Microsoft's warranty remedy procedures. All Software provided to the U.S. Government pursuant to solicitations issued prior to December 1, 1995 is provided with "Restricted Rights" as provided for in FAR, 48 CFR 52.227-14 (JUNE 1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988), as applicable.

22. APPLICABLE LAW.

If you acquired this Software in the United States, this EULA is governed by the laws of the State of Washington. If you acquired this Software in Canada, unless expressly prohibited by local law, this EULA is governed by the laws in force in the Province of Ontario, Canada; and, in respect of any dispute which may arise hereunder, you consent to the jurisdiction of the federal and provincial courts sitting in Toronto, Ontario. If you acquired this Software in the European Union, Iceland, Norway, or Switzerland, then local law applies. If you acquired this Software in any other country, then local law may apply.

23. ENTIRE AGREEMENT; SEVERABILITY.

This EULA (including any addendum or amendment to this EULA which is included with the Software) are the entire agreement between you and Microsoft relating to the Software and the support services (if any) and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this EULA. To the extent the terms of any Microsoft policies or programs for support services conflict with the terms of this EULA, the terms of this EULA shall control. If any provision of this EULA is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect.
